Welcome to the Asian American Women Entrepreneurs Association ("AAWEA", "we", "our", or "us"). These Terms and Conditions  ("Terms") govern your  access to and  use of the AAWEA website  located  at  https://aawea.org/  (the  "Site"),  as  well  as  our  member  portals,  AI  Hub, business directories, events, and related services (collectively, the "Services").

By accessing or using our Site and Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Site.

 

  1. About AAWEA

 

AAWEA  is  a  registered  501(c)(3)  non-profit  organization  dedicated  to  empowering  Asian American women in entrepreneurship through cognition, connection, courage, and creativity. Our platform facilitates networking, AI education, business promotion, and professional development.

 

 2. User Accounts and Membership

 

Eligibility: You must be at least 18 years old to create an account, purchase a membership, or use our Services.

Account Security:  If  you  register for an account, you are  responsible for  maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Accuracy  of   Information:  You   agree  to   provide  true,   accurate,  current,   and  complete information when  registering,  listing  your  business  in  our  directory,  or  interacting  with  our platform.


 3. User-Generated Content

 

Our Site allows members to post events, share stories, list businesses, and submit entries to contests (collectively, "User Content").

License  Granted  to  Us:  By  posting   User  Content,  you  grant  AAWEA  a  non-exclusive, worldwide,  royalty-free  license  to  use,  display,  reproduce,  and  distribute  your  content  in connection with operating and promoting the organization.

Prohibited  Conduct:  You  agree  not  to  post  content  that  is  defamatory,  abusive,  hateful, discriminatory, fraudulent, or violates any third party's intellectual property rights. We reserve the right to remove any content that violates these Terms or our community standards without prior notice.

 

 4. AI Hub and Third-Party Tools

 

Our Site features an "AI Hub" providing access to AI agents, tools, prompt libraries, and design resources, powered by third-party providers (e.g., Google, OpenAI, Anthropic, DeepSeek).

No Guarantee of Accuracy: AI-generated output is provided for educational, inspirational, and business enablement purposes only. AAWEA does not guarantee the accuracy, reliability, or intellectual property clearance of any AI-generated content. You are solely responsible for verifying the output before using it in your business.

Acceptable Use: You agree not to use the AI Hub to generate illegal, harmful, or malicious content, or to attempt to reverse-engineer or disrupt the underlying AI models.

 

 5. Payments, Donations, and Refunds

 

All payments for memberships, event tickets, and sponsorships are processed securely through third-party payment processors.

Tax  Deductibility:  As  a  501(c)(3)  organization,  donations  made  to  AAWEA  may  be  tax- deductible to the  extent  permitted  by  law.  Please  consult  your  tax  advisor  regarding  your specific situation. Membership fees may not be entirely tax-deductible.

Refunds:  Unless  explicitly  stated  otherwise   in  our  specific   Event  or   Refund   Policy,  all membership fees and event registrations are final and non-refundable.

 

 6. Intellectual Property

 

Except for User Content, the Site and its original content, features, and functionality—including but not limited to text, graphics, logos, and software—are owned by AAWEA and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.


 7. Third-Party Links and Sponsors

 

The Site may contain links to third-party websites, partner portals, and sponsor resources that are not owned or controlled by AAWEA. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services.

 

 8. Disclaimer of Warranties

 

THE  SERVICES  ARE   PROVIDED  ON  AN  "AS   IS"  AND  "AS  AVAILABLE"  BASIS.  AAWEA EXPRESSLY  DISCLAIMS  ALL  WARRANTIES  OF  ANY  KIND,  WHETHER   EXPRESS  OR IMPLIED,    INCLUDING     BUT    NOT     LIMITED    TO    THE     IMPLIED    WARRANTIES     OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR- FREE.

 

 9. Limitation of Liability

 

IN NO EVENT SHALL AAWEA, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE  DAMAGES,  INCLUDING  WITHOUT  LIMITATION,  LOSS  OF  PROFITS,  DATA,  USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR  INABILITY TO ACCESS OR USE THE SERVICES; OR (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES.

 

  10. Governing Law

 

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising out of these Terms will be resolved exclusively in the state or federal courts located in Virginia.

 

  11. Changes to Terms

 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
